1. Agreement to Terms

By accessing or using the MXEL platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

MXEL reserves the right to modify these Terms at any time. Continued use after changes constitutes acceptance of modified Terms.

2. Eligibility

To use MXEL, you must:

Be at least 18 years old
Have legal capacity to enter into binding contracts
Not be prohibited from using the Platform under applicable laws
Comply with all local laws regarding cryptocurrency and financial services

3. Platform Description

MXEL is a cryptocurrency token distribution platform built on the Solana blockchain. The Platform:

Distributes MXEL tokens to verified content creators based on subscriber metrics
Distributes MXEL tokens to supporters (patrons) based on their contributions to creators
Integrates with YouTube, Patreon, and Twitch via OAuth
Converts fixed dollar-denominated allocations into token amounts at the applicable conversion rate
Does not sell MXEL tokens. The Platform conducts no token sale, initial coin offering, private sale, or public sale. All MXEL tokens are distributed exclusively as rewards earned through verified activity

4. User Accounts

4.1 Account Creation

You create an account by connecting your Solana wallet and verifying platform accounts (YouTube, Patreon, Twitch). You are responsible for:

Maintaining the security of your wallet private keys
All activities that occur under your account
Ensuring accuracy of information provided

4.2 Account Termination

We may suspend or terminate your account if you:

Violate these Terms
Provide false information
Engage in fraudulent activity
Abuse or attempt to manipulate the Platform

5. Creator Terms

5.1 Verification Requirements

As a creator, you must:

Verify ownership of content creator accounts via OAuth
Announce MXEL availability to your audience
Maintain active creator status on connected platforms
Provide accurate subscriber/patron counts

5.2 Token Distributions

Monthly token allocations calculated based on verified subscriber metrics
Dollar-denominated allocations converted to token amounts at the applicable conversion rate at the time of distribution
Distributions subject to verification and fraud prevention checks
MXEL reserves the right to adjust distribution formulas

5.3 Access Models

Free Creator Path: No cost to join, standard token distributions

Founding Creators Membership: An optional, paid lifetime premium membership offering enhanced platform benefits, including boosted reward rates on your own verified activity and priority support. The Founding Creators membership is a purchase of a membership product only. It is not a purchase of MXEL tokens, is not a token sale, and does not constitute an investment, security, or financial instrument. No MXEL tokens are sold in connection with the membership; tokens remain obtainable only as rewards earned through verified activity. Current pricing and availability are published on the Founding Creators page of the Platform.

6. Patron Terms

6.1 Reward Eligibility

As a patron, you receive tokens when:

You make verified contributions to creators on supported platforms
The creator has connected their account to MXEL
Your patron account is verified via OAuth

6.2 Reward Accrual and Conversion

Patrons pay nothing to MXEL. Reward amounts are calculated from the verified value of your contributions to creators at the time those contributions are verified. While the Platform operates on Solana devnet, rewards accrue to your account and convert to on-chain tokens at token launch on mainnet. Accrued reward amounts are fixed at the time of verification and are not adjusted for subsequent changes in token value.

7. MXEL Token

7.1 Token Details

Maximum supply: 84 billion MXEL tokens
Blockchain: Solana (SPL Token standard)
Progressive minting for security
No token sale: 0% of supply is allocated to investors; tokens are distributed only as earned rewards
Current deployment: Solana devnet (early access); accrued rewards convert to on-chain tokens at mainnet launch

7.2 Token Risks

WARNING: Digital tokens carry significant risks:

Token value may increase or decrease
Tokens you earn may lose some or all of their value
Market volatility is unpredictable
Regulatory changes may affect token value
No guarantee of liquidity or market demand

7.3 Not Financial Advice

MXEL tokens are utility tokens for platform participation. Nothing on this Platform constitutes financial, investment, legal, or tax advice. Consult qualified professionals before making financial decisions.

8. Prohibited Activities

You may NOT:

Create fake or fraudulent creator/patron accounts
Manipulate subscriber counts or contribution data
Use bots, scripts, or automation to abuse the Platform
Attempt to exploit or hack the Platform
Violate any applicable laws or regulations
Engage in money laundering or terrorist financing
Circumvent security measures or access controls

9. Third-Party Platforms

MXEL integrates with YouTube, Patreon, and Twitch. You must comply with each platform's terms of service. MXEL is not responsible for:

Changes to third-party platform policies
Account suspensions or bans on third-party platforms
Data accuracy from third-party APIs
Third-party platform downtime or errors

10. Intellectual Property

All Platform content, code, designs, and trademarks are owned by MXEL or licensors. You may not:

Copy, modify, or distribute Platform content
Use MXEL branding without permission
Reverse engineer or decompile the Platform

11. Disclaimers

11.1 Platform "AS IS"

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including:

No guarantee of uninterrupted service
No guarantee of error-free operation
No warranty of token value or liquidity
No guarantee of specific distribution amounts

11.2 Blockchain Risks

You acknowledge risks inherent to blockchain technology:

Transactions are irreversible
Network congestion may delay transactions
Smart contract vulnerabilities may exist
Private key loss results in permanent token loss

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MXEL SHALL NOT BE LIABLE FOR:

Loss of tokens or cryptocurrency
Financial losses from token price changes
Errors in token distributions
Platform downtime or service interruptions
Third-party platform issues
Unauthorized access to your account
Indirect, incidental, or consequential damages

Total liability shall not exceed $100 USD or the value of tokens you received in the past 30 days, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless MXEL from any claims, damages, or expenses arising from:

Your violation of these Terms
Your violation of third-party rights
Your misuse of the Platform
Your violation of applicable laws

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

14.2 Arbitration

Any disputes shall be resolved through binding arbitration, except where prohibited by law. You waive the right to participate in class action lawsuits.

15. Regulatory Compliance

You are responsible for compliance with all applicable laws in your jurisdiction, including:

Tax reporting requirements
Anti-money laundering (AML) laws
Know Your Customer (KYC) regulations

16. Changes to Service

MXEL reserves the right to:

Modify or discontinue the Platform at any time
Change distribution formulas or allocation methods
Add or remove supported platforms
Implement fees for certain services

We will provide reasonable notice of material changes.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
