Please read this entire document before participating in MXEL. Cryptocurrency investments involve significant risk. You may lose some or all of your investment. Only participate with funds you can afford to lose.

1 General Cryptocurrency Risks

  • Cryptocurrency prices are highly volatile. Price swings of 10-50% or more in a single day are not uncommon in cryptocurrency markets.
  • MXEL token value may fluctuate significantly based on market conditions, adoption rates, and broader cryptocurrency market trends.
  • Past performance does not guarantee future results. Historical price data, if any, should not be used to predict future token value.
  • You may lose some or all of your investment. Be prepared for the possibility of total loss of any funds you commit to MXEL.
  • Cryptocurrency regulations vary by jurisdiction and are rapidly evolving. What is legal today may be restricted or prohibited tomorrow.
  • Future regulations may impact MXEL operations. Regulatory changes could require platform modifications, restrict certain features, or affect token utility.
  • Token classification may change. Regulatory bodies may classify MXEL differently than intended, potentially subjecting it to securities laws or other regulations.
  • Some jurisdictions may restrict or prohibit participation. It is your responsibility to ensure compliance with your local laws before participating.
  • Smart contracts may contain undiscovered bugs. Despite testing and audits, software vulnerabilities may exist that could result in loss of funds.
  • Blockchain networks may experience downtime or congestion, which could delay transactions, increase fees, or temporarily prevent access to funds.
  • Wallet security is your responsibility. You must secure your own private keys, seed phrases, and wallet access. MXEL cannot recover lost credentials.
  • Lost private keys cannot be recovered. If you lose access to your wallet, your tokens are permanently inaccessible. There is no password reset.

2 MXEL-Specific Risks

  • MXEL is in active development and currently deployed on Solana devnet. The mainnet launch has not occurred yet.
  • Platform features may change significantly before mainnet deployment based on testing, user feedback, and technical requirements.
  • Roadmap timelines are estimates, not guarantees. Development delays are common in software projects, especially those involving blockchain technology.
  • Key person risk exists. MXEL is currently a small team. The departure or incapacity of key individuals could significantly impact the project.

Important: The $0.01 floor price is used only for reward calculations. It is NOT a guaranteed market price or minimum value.

  • Token value depends on adoption and market conditions. There is no guaranteed value, price floor, or buy-back commitment for market trading.
  • Large token unlocks may impact price. Vesting schedules release tokens over time, which could create selling pressure.
  • Multiplier tiers may exhaust before you participate. Early participants receive higher multipliers; later participants receive lower rates.
  • Platform integrations depend on third-party APIs (YouTube, Twitch, Patreon, etc.). These services can change their APIs without notice.
  • API changes by platforms may affect functionality. If YouTube, Twitch, or other platforms modify their APIs, MXEL features may be impacted.
  • Oracle price feeds may experience delays or inaccuracies. Reward calculations depend on external price data that may not always be real-time or accurate.
  • Reward calculations depend on accurate data. Subscriber counts, donation amounts, and other metrics are sourced from third parties and may contain errors.
  • MXEL is not yet listed on exchanges. Until listing occurs, there is no public market for trading tokens.
  • Future liquidity is not guaranteed. Exchange listings depend on meeting their requirements and may not occur.
  • You may not be able to sell tokens when desired. Even with exchange listings, low trading volume may make it difficult to sell at your desired price.
  • DEX liquidity depends on market conditions. Decentralized exchange liquidity pools may have insufficient depth for large trades.

3 Investor-Specific Risks

  • Early investor tokens are subject to vesting schedules. High-multiplier tiers (10x, 7.5x) have mandatory vesting periods.
  • You cannot access all tokens immediately. Only 20% of tokens from Tier 1 and Tier 2 are available at TGE; the rest vest over 6 months.
  • Vesting periods range from 0-6 months depending on your investment tier. Higher multipliers = longer vesting.
  • Token value may change during vesting. The price when you receive vested tokens may be lower than when you invested.
  • Higher multiplier tiers are first-come, first-served. Early investors exhaust high-multiplier allocation before later participants.
  • Tiers may be exhausted by the time you invest. The 10x tier (100M tokens) may fill quickly, leaving only lower multipliers.
  • Effective price depends on tier availability. A 1.5x multiplier results in a much higher effective cost per token than 10x.
  • No guarantee of specific tier access. Tier availability is determined by total distributed tokens at time of investment.

4 Patron & Creator Risks

  • Reward amounts depend on token price and floor calculations. The number of tokens you receive varies based on the effective price at time of reward.
  • Higher token prices mean fewer tokens per donation. If MXEL trades at $0.10, a $10 donation yields 100 tokens; at $1.00, only 10 tokens.
  • Reward pools may deplete over time. Each allocation has a fixed supply; once exhausted, no more rewards can be distributed from that pool.
  • Platform changes may affect reward eligibility. Eligibility criteria, minimum thresholds, or calculation methods may be updated.
  • OAuth tokens may expire requiring you to reconnect your platform accounts periodically.
  • Platform policy changes may affect integration. YouTube, Twitch, Patreon, etc. may restrict API access at any time.
  • Subscriber/follower counts from APIs may be delayed or may not reflect real-time numbers, affecting reward calculations.
  • Account bans on platforms may affect MXEL eligibility. If your YouTube/Twitch/Patreon account is terminated, you may lose access to MXEL rewards.

By participating in MXEL as an investor, creator, or patron, you acknowledge that you have read and understood these risks. You accept full responsibility for your participation decisions and understand that:

  • You may lose some or all funds you commit to MXEL.
  • You are responsible for your own due diligence.
  • You are responsible for compliance with your local laws.
  • You accept the inherent risks of cryptocurrency and blockchain technology.
  • You understand that MXEL is an early-stage project with no guarantee of success.
